Welcome to Private Flights Ltd ("Private Flights," "we," "our," or "us"). These Terms of Service (the "Terms") govern your access to and use of our website, app, and any related services (collectively, the "Services"). By using our Services, you agree to these Terms. If you do not agree, you must not access or use the Services.
1. Definitions
Aircraft: Any aircraft operated by third-party Operators for the provision of an itinerary.
Charter Price: The price payable for the charter of an Aircraft, including applicable charges and Operator fees.
Empty Leg Charter: A flight that is dependent on the completion of a separate charter flight by another customer.
Handling Charge: The fee charged by Private Flights for its brokerage services.
Operator: A third-party licensed entity responsible for the operation and maintenance of the Aircraft.
Passenger: Any individual travelling on a flight booked through Private Flights.
You / User: Any person or entity accessing or using the Services, whether as a registered member or a guest user.
2. Introduction to Private Flights
2.1 Brokerage Role
Private Flights Ltd is a charter broker with a global digital jet charter marketplace. We act solely as an intermediary between users and licensed third-party Operators. We do not own or operate Aircraft, nor do we provide direct air carriage. We facilitate the connection between you and the Operator under these Terms.
2.2 Operator Responsibility
All flights advertised through our Services are owned and operated by third-party air carriers that are properly licensed and insured in accordance with applicable regulations. We do not own, operate, or control any Aircraft. The Operator is solely responsible for operational control, compliance with aviation regulations, and Passenger safety.
2.3 Binding E-Sign
By creating an account, continuing to use our Services, or clicking an acceptance or "purchase" button on our website or app, you acknowledge that you have reviewed and agree to be bound by these Terms, and that such electronic consent is binding to the fullest extent permitted by law.
2.4 Your Protection
Private Flights is committed to providing you with a secure and transparent booking experience:
- All operators are fully licensed and insured in accordance with EU and US regulations
- 24/7 customer support throughout your journey
- Transparent pricing with no hidden fees (all additional costs communicated before booking confirmation)
- Direct operator contact information provided upon payment
- Real-time flight tracking and updates
- Refunds, where applicable, are subject to amounts recovered from the Operator and any legitimate third-party costs already incurred.
3. Scope of Services
3.1 Brokerage Services
We facilitate the booking of private jet charters, Empty Leg Charters, and customised flight itineraries offered by third-party Operators. Our role is limited to connecting users with Operators, transmitting your booking requests, and collecting payment on behalf of Operators where applicable.
3.2 No Operational Control
We do not provide or undertake operational control of any flight, nor do we maintain liability insurance or safety management systems for Aircraft. These responsibilities lie exclusively with the Operator, who remains responsible for all operational decisions including scheduling, routing, crew deployment, aircraft maintenance, and Passenger safety.
3.3 No Insurance
Private Flights does not provide Passenger insurance or additional liability coverage. Passengers are covered exclusively by the Operator's insurance policies, as required by law. We strongly recommend that you obtain your own travel, medical, or other relevant insurance coverage.
3.4 Flight Information
Information regarding flight availability, routes, pricing, and other details is supplied by Operators. We make no representation or warranty as to the accuracy, completeness, or currency of such information, which may change without notice. Operator or airport restrictions, weather, and other factors may alter or cancel flight itineraries at short notice.
3.4.1 Estimated Flight Times
Any flight times provided (including promotional journey durations) are estimates only. Actual times may vary due to air traffic constraints, weather conditions, or the Operator's operational considerations. Private Flights disclaims any liability for reliance on estimated flight times.
3.5 No Guarantee of Availability
We do not guarantee that any particular Operator or flight itinerary will remain available at all times. All bookings are subject to Operator availability, acceptance, and confirmation. You acknowledge that flight scheduling may be subject to last-minute changes, cancellations, or amendments imposed by the Operator or relevant authorities.
3.6 Ancillary Services
From time to time, we may assist with or recommend ancillary travel services such as ground transport, hotel bookings, catering, or other travel-related amenities. Such recommendations are offered solely for your convenience, and we disclaim all responsibility or liability for the quality or availability of third-party services.
3.6.1 Chauffeur & Ground Transportation Services
Private Flights may arrange chauffeur and ground transportation services through licensed third-party providers for airport transfers, plane-side transfers, city travel, or onward connections. Such services are provided solely for the convenience of the User and are subject to availability and provider acceptance.
Private Flights acts solely as an intermediary in such arrangements and does not operate or control vehicles directly unless expressly stated in writing. The transportation contract is fulfilled by the third-party provider, who shall be solely responsible for operational control, licensing, insurance, vehicle condition, and driver conduct.
All chauffeur bookings must be paid in full prior to confirmation. Cancellations made within 48 hours of the scheduled pickup time are non-refundable. No-shows, last-minute cancellations, or failure to be present at the agreed pickup location at the confirmed time are strictly non-refundable.
Changes to pickup time, address, or service details are subject to availability and may incur additional charges. Journey duration estimates are provided for guidance only and may vary due to traffic, road conditions, weather, security measures, or other circumstances beyond our control. Private Flights shall not be liable for delays, missed connections, or other losses arising from such factors.
Clients are responsible for ensuring that accurate pickup and drop-off details are provided at the time of booking. Any additional waiting time, extra stops, excess luggage, or special vehicle requirements not disclosed at the time of booking may result in additional charges.
Private Flights shall not be liable for any act, omission, delay, cancellation, loss, damage, or service failure of any third-party chauffeur or ground transportation provider, except to the extent directly caused by Private Flights' gross negligence or wilful misconduct.
Vehicles may be substituted at the discretion of the provider based on availability, operational requirements, or local regulations. Any images, descriptions, or examples of vehicles are for illustrative purposes only and are not guaranteed to reflect the exact vehicle provided.
Passengers must comply with all applicable laws and any lawful instructions given by the provider or driver. The driver or provider may refuse service where necessary for safety, legal compliance, or due to abusive, unlawful, or unsafe conduct by any passenger.
Ground transportation arranged through Private Flights is a separate ancillary service and does not form part of the air charter contract. Any such service may also be subject to the relevant provider's own terms and conditions.
4. Your Responsibilities
4.1 Compliance with Laws
You agree to comply with all applicable laws, regulations, and Operator-specific requirements when booking and taking a flight, including but not limited to aviation, customs, immigration, and safety regulations. You are responsible for obtaining any required visas, passports, or other travel documentation.
4.2 Accurate Information
You must provide accurate and complete information when using our Services, including during the booking process. You warrant that all details, including Passenger names, travel documents, and contact information, are true and correct. Any discrepancies or inaccuracies may result in additional fees, denied boarding, or cancellation of flights, for which we are not liable.
4.2.1 Passport Information Requirements
It is a requirement of customs and immigration authorities within Europe that you provide full passport information for every passenger travelling not less than 24 hours prior to departure. This also allows for the correct calculation of Airport Passenger Duty where applicable. Failure to provide this information within the required timeframe may result in flight delays, cancellations, or additional fees.
4.3 Insurance
You acknowledge that Private Flights does not provide additional liability or travel insurance. It is your responsibility to ensure that you have adequate personal, business, health, or other necessary insurance coverage for your travel requirements, including coverage for cancellation, medical emergencies, or other unforeseen events. You should contact your flight Operator for your specific flight, and ask them for any additional information and to double check their own aircraft insurance.
4.4 Age and Capacity
You represent and warrant that you are at least 18 years of age and possess the legal capacity to enter into binding agreements. If you are booking on behalf of another person, including minors, you affirm that you have the authority to do so and accept responsibility for their adherence to these Terms.
4.5 Conduct Onboard
Passengers must adhere to all Operator instructions, safety briefings, and any conditions of carriage imposed by the Operator. Failure to comply may result in denial of boarding or other enforcement measures at the Operator's sole discretion.
4.6 Pre-Departure Requirements
4.6.1 Arrival Time
In order to maintain the planned departure time, passengers are requested to arrive at the departure location at least 30-40 minutes prior to the scheduled departure time. We kindly inform that the flight schedule may be subject to weather and airport conditions and other unforeseen circumstances, which Private Flights cannot be held responsible for.
4.6.2 Dangerous Goods Restrictions
Please note that transport of dangerous goods (including lithium batteries, flammable liquids, compressed gases, guns and ammunition) is strictly prohibited. Transport of dangerous goods must comply with IATA Dangerous Goods Regulations (DGR). A comprehensive DGR list can be found at https://www.iata.org/en/publications/dgr/
5. Disclaimers and Limitations of Liability
5.1 No Warranty
Our Services are provided on an "as is" and "as available" basis, without any warranties of any kind, express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of viruses.
5.2 Operator Responsibility
All flights are operated by third-party Operators who bear sole responsibility for the safety, maintenance, and operation of their Aircraft. Any disputes or claims related to such flights must be directed to the relevant Operator. We disclaim all liability arising from Operator conduct or omissions.
5.3 Force Majeure
Private Flights shall not be liable for any failure or delay in performance resulting from circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, pandemics, epidemics, government-imposed restrictions, changes in aviation regulations, labour disputes, technical failures, or severe weather events.
In the event of force majeure causing flight diversion, cancellation, or termination, any refund will be limited to amounts actually recovered by Private Flights from Operators or third-party suppliers, minus legitimate costs already incurred (including ferry positioning and completed flight segments).
If an aircraft lands at an alternate airport due to force majeure, the flight shall be deemed completed and Passengers are responsible for reaching their final destination at their own cost.
5.4 Statutory Rights
Nothing in these Terms shall exclude or limit any statutory rights that cannot be lawfully excluded or limited, including liability for fraud or fraudulent misrepresentation, or any other liability that cannot be excluded by law.
5.5 API or Data Use
Our Services may incorporate or rely upon data from external sources or third-party APIs (such as flight tracking or pricing). Private Flights disclaims any liability for inaccuracies, downtime, or other issues caused by third-party service interruptions or errors.
5.6 Costs Consequences for Inappropriate Claims
Private Flights' function is strictly limited to that of an intermediary facilitating introductions between customers and properly licensed Operators. Any party who commences proceedings against Private Flights seeking to impose liability for matters which are expressly stated to be the responsibility of Operators pursuant to these Terms shall be liable to reimburse Private Flights for all reasonable costs of defending such proceedings, including solicitors' costs on a full indemnity basis, whether or not such proceedings are ultimately successful.
6. Booking and Payment
6.1 Payment Processing
Payments are processed through third-party payment providers such as Stripe. By submitting payment information, you authorise us to charge the payment method provided for the Charter Price, Handling Charge, and any other associated fees. You acknowledge that your financial information may be transferred to such third-party providers, who operate under their own terms and privacy policies.
You agree not to initiate chargebacks for services provided in accordance with these Terms, except where required by law, and acknowledge that any unjustified chargeback may constitute a breach of these Terms.
6.1.1 Why Full Payment is Required
We must secure aircraft with operators who require full payment to guarantee availability. We act as an intermediary and pass funds directly to licensed operators to lock in your aircraft and ensure it is held exclusively for your travel dates. This industry-standard practice protects both you and the operator by confirming the commitment on both sides. To secure your aircraft with the operator, full payment is required within 12 hours of booking confirmation. Upon receipt of payment, we arrange for funds to be transferred to the licensed operator and provide you with: Full operator contact information, Aircraft tail number and specifications, Direct contact details for 24/7 flight coordination. Your funds are transferred directly to the licensed operator within 24 hours of receipt, ensuring your aircraft is secured and cannot be booked by another party.
6.1.2 Identity Verification
To protect against fraud and comply with financial regulations, we may require identity verification for certain transactions through our mobile app. This verification is conducted via Stripe Identity, our trusted third-party verification provider.
When identity verification is required:
- You will be prompted to complete an identity check through the mobile app
- This may include submitting government-issued identification and/or biometric verification
- Verification requests may be triggered by transaction characteristics that require additional security measures
- If you fail to complete verification when requested, you won't be able to continue with your purchase.
Identity verification is a standard security practice in the payment industry and helps ensure the safety and security of all users.
6.1.3 Premium Membership Subscription Terms
Private Flights may offer a premium membership subscription service ("Premium Membership") through its mobile application. Premium Membership may be offered on a monthly or annual recurring basis and provides access to certain membership benefits, offers, experiences, notifications, events, or other features as determined by Private Flights from time to time.
Where Premium Membership is purchased through the Apple App Store on an iOS device, billing shall be processed by Apple through the User's Apple ID account and shall be subject to Apple's applicable billing, cancellation, renewal, and refund policies. Private Flights does not control Apple-billed transactions and does not process refunds for purchases made through the Apple App Store.
For Apple App Store Premium Membership purchases, the User acknowledges and agrees that:
Payment will be charged to the User's Apple ID account at confirmation of purchase;
The subscription renews automatically unless auto-renew is turned off at least 24 hours before the end of the current billing period;
The User's account will be charged for renewal within 24 hours prior to the end of the current billing period; and
The User may manage or cancel the subscription through their Apple App Store account settings after purchase.
Cancellation of an Apple-billed Premium Membership will stop future renewals in accordance with Apple's rules, but will not automatically entitle the User to a refund for the current billing period unless Apple approves such refund under its policies.
Where Premium Membership is purchased directly from Private Flights through any payment method other than the Apple App Store, all payments are final and non-cancellable and non-refundable except where required by applicable law or where expressly stated otherwise by Private Flights in writing.
Premium Membership benefits, offers, partner privileges, events, access opportunities, and features are curated membership benefits that may change, be updated, suspended, replaced, or withdrawn at any time without prior notice. Unless required by applicable law, such changes shall not entitle the User to any refund, credit, or compensation.
Premium Membership is personal to the User, non-transferable, and may not be assigned, resold, shared, or transferred except where expressly authorised by Private Flights in writing.
6.1.4 Cryptocurrency and Alternative Payment Methods
Where Private Flights permits payment by cryptocurrency, stablecoin, or other alternative digital payment method through a third-party provider such as Deus X Pay, payment may be initiated through our mobile app or through an invoice issued by Private Flights or by our team. Private Flights may issue an invoice specifying the exact amount payable, the required payment address or instructions, and any applicable payment deadline. Unless expressly stated otherwise in writing, any such invoice must be paid in full in cleared funds by the stated deadline in order to secure the relevant booking, membership, or service.
Payment through Deus X Pay may be subject to verification, screening, compliance, and approval checks carried out by Deus X Pay itself. Private Flights does not control those checks and shall not be liable for any delay, rejection, suspension, reversal, or failure of payment caused by Deus X Pay, the blockchain network, incorrect wallet details, or the User's failure to follow the payment instructions provided.
Where payment is made in cryptocurrency, stablecoins, or other digital assets, the User is solely responsible for ensuring the accuracy of the payment amount, wallet address, network selection, and all transfer details. Any network fees, gas fees, conversion fees, or provider fees shall be borne by the User unless expressly stated otherwise.
Once payment has been received in full and cleared, Private Flights will proceed to provide the relevant services, including but not limited to booking confirmation, coordination, membership access, or other applicable services.
6.2 Cancellation and Refund Policy
Understanding Our Cancellation Terms: When you book, we immediately commit funds to secure the aircraft with our operator partners. Cancellation fees reflect the operator's costs, our administrative expenses, and lost opportunities to book the aircraft to other clients. These are standard aviation industry terms designed to protect all parties in the transaction.
Mobile App Bookings: All bookings made through our mobile app are final and non-refundable except where required by law or where the Operator cancels or fails to provide the booked service. If the Operator cancels or fails to provide the booked flight, we will refund to you any amounts that we actually recover from the Operator within a few business days of receipt. We are not liable for any amounts not refunded to us by the Operator or any third party.
Website Bookings: For bookings made through our website, the following cancellation policy applies:
- 28% of the Flight Price if cancelled after contract exchange
- 55% of the Flight Price if cancelled within 72 hours prior to STD (Scheduled Time of Departure)
- 75% of the Flight Price if cancelled within 48 hours prior to STD
- 100% of the Flight Price if cancelled within 24 hours of STD
- Flight changes/rescheduling: 45% of flight price regardless of timing
- All cancellations must be submitted in writing during business hours
Payment Requirements: 100% of the payment must be sent to and reflected in PRIVATE FLIGHTS LTD account within 12 hours of contract exchange and before STD.
Operator-Initiated Cancellations: In the event of an Operator-initiated cancellation, we will refund you any amounts we receive back from our suppliers/operators/brokers within 5 business days of receipt. We are not liable for any portion not refunded to us by the Operator or third-party broker.
Aircraft on Ground (AOG) Issues: If an aircraft becomes unavailable due to technical, maintenance, or operational issues, Private Flights will immediately work with the operator to secure a comparable alternative aircraft at no additional cost to you. We will provide you with details of the alternative aircraft for your approval within a few hours. If we cannot secure a suitable alternative that meets your requirements, you will receive a refund of all fees paid, minus any legitimate third-party costs already incurred on your behalf (such as catering, ground transportation, or permits), which will be itemized and documented. In cases where a flight has partially been completed before an AOG issue arises, you will receive a prorated refund for the unused portion of your journey. Private Flights is committed to advocating on your behalf to ensure a swift and fair resolution.
6.3 Pricing
Flight prices are determined by Operators and may vary based on factors such as aircraft availability, itinerary, route, and third-party costs (e.g. airport fees, taxes). Prices are subject to change until a booking is confirmed. We shall not be liable for any variance in Operator pricing, fees, or additional surcharges.
6.4 Empty Leg Charters
You acknowledge that Empty Leg Charters are contingent on the completion of a separate primary charter by another customer. Private Flights disclaims all responsibility for cancellations or alterations of Empty Leg Charters arising from third-party actions, timing changes, or any factors outside our control. Empty Leg Charters are non-refundable once booked, except in the event of Operator cancellation or where required by law.
6.5 Additional Charges
Additional fees, including but not limited to airport handling, de-icing, repositioning, crew overnight costs, catering, or surcharges related to fuel or other third-party costs, may apply. You agree to be responsible for any such charges, which will be communicated where reasonably practicable.
6.5.1 Fuel Surcharge
You acknowledge and agree that in the event of significant increases in fuel prices between the time of booking and the scheduled departure, the Operator or Private Flights may impose a fuel surcharge. You shall be responsible for any such additional costs.
6.5.2 Pass-Through Additional Costs
You acknowledge that Operators or third-party brokers may impose additional costs including but not limited to:
- De-icing fees
- Extended ground time/waiting fees
- Fuel surcharges beyond those stated in 6.5.1
- Repositioning or ferry flight costs
- Airport slot changes or permit fees
- Crew overtime or overnight accommodation
- Customs/immigration fines or penalties
- Special handling or security requirements
- Cleaning fees / damage fees
All such costs will be passed directly to you and are payable immediately upon invoice. Private Flights acts solely as intermediary for these charges and accepts no liability for the amount or validity of such costs.
6.6 Taxes and Duties
You are responsible for any applicable taxes, duties, or government-imposed fees associated with your booking. Such charges may vary based on jurisdiction, Operator, or other factors.
6.7 No-Show and Delay Policy
A "no-show" occurs if you or any Passenger fails to arrive for check-in by the specified time, refuses to comply with required security or immigration checks, lacks proper travel documentation, or otherwise fails to board at the scheduled departure time.
No-Show or Passenger Delay Penalties:
- No-show or passenger delay greater than 30 minutes: 100% penalty applies
- No refund will be provided, and you will remain liable for the full Charter Price and any related fees
Mobile App Bookings: Cancellations by you or your Passengers are not permitted for mobile app bookings under these Terms, and no refunds will be issued under any circumstances.
6.8 Breakdown of Costs
The total cost of your booking may comprise distinct elements, including (but not limited to):
- Flight Costs: The base Charter Price.
- Sharing Flight Costs: Where applicable, any cost-sharing arrangements.
- Applicable Taxes: Government or local authority taxes, duties, or fees.
- Incidental Expenses: Such as de-icing, FBO fees, extra crew costs, ground transport, pet cleaning fees, or any additional services requested.
- Third-Party Service Charges: Any other services arranged on your behalf (e.g. catering, hotel bookings, etc.).
These cost components will be itemised or communicated to you as clearly as practicable before booking confirmation.
7. User Conduct
7.1 Prohibited Activities
You agree not to:
- Use the Services for any unlawful or fraudulent purpose.
- Misrepresent your identity or affiliation.
- Interfere with or disrupt the operation of the Services.
- Resell or sublicense access to the Services.
- Submit false or misleading information in any booking request.
- Engage in any conduct that threatens, harasses, or otherwise violates the rights of other users, our staff, or Operators.
- Attempt to reverse or dispute legitimate payments for services rendered.
7.1.1 Content Upload Restrictions (Mobile App)
For users of our mobile application, you additionally agree that any content you upload (including but not limited to profile pictures, user-generated images, or other media) must not:
- Contain or depict illegal content of any kind
- Constitute spam, including repetitive, unsolicited, or promotional material
- Violate any third-party intellectual property rights
- Contain malicious code or viruses
We reserve the right to remove any uploaded content that violates these restrictions and may suspend or terminate accounts that repeatedly violate this policy.
7.2 Termination
We reserve the right to suspend or terminate your access to the Services if you violate these Terms or engage in conduct that, in our reasonable opinion, harms our reputation or business operations. Any such termination or suspension shall be at our sole discretion and without liability.
7.3 Compliance with Sanctions
You represent and warrant that you and any Passengers are not subject to any sanctions, embargoes, or restrictions imposed by the UK, EU, US, or other relevant authorities. You further acknowledge that if you or any Passengers are from sanctioned countries or otherwise barred by law, you are prohibited from using our Services.
7.4 Passenger Misconduct
Passengers are required to adhere to all Operator rules, guidelines, and safety measures. Private Flights reserves the right to refuse future Services to any user or Passenger found to engage in disruptive, abusive, or unlawful conduct. You or any Passenger you are responsible for shall be solely liable for any damages to the Aircraft, its contents, or any third party.
7.4.1 Passenger Damage and Conduct Liability
You and your Passengers are jointly and severally liable for any and all:
- Damage to Aircraft interior, exterior, or equipment
- Cleaning, disinfecting, or repair costs (including pet-related damage)
- Fines, penalties, or fees imposed by customs, immigration, or aviation authorities
- Costs resulting from Passenger delays, misconduct, or non-compliance
- Any claims arising from Passenger behavior or actions
These costs will be billed to you by Private Flights and are payable within 7 days. Private Flights reserves the right to pass through any charges invoiced to us by Operators or third-party brokers without markup. You agree to indemnify Private Flights for any losses, legal fees, or expenses arising from Passenger conduct or damage.
8. Privacy
8.1 Data Collection
By using our Services, you consent to the collection, use, and storage of your personal data in accordance with our Privacy Policy and applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR). We handle personal data strictly for business operations and to fulfil contractual obligations.
8.2 Data Retention
We will retain user data for as long as necessary to fulfil the purposes outlined in our Privacy Policy or to comply with legal and regulatory requirements. We implement reasonable technical and organisational measures to protect user data but cannot guarantee absolute security.
8.3 Third-Party Services
Our Services may integrate with third-party systems (e.g., payment processors). Your data may be transferred to such providers, and you acknowledge that their use of your data is governed by their respective privacy policies. We accept no responsibility for the data handling practices of third-party services.
9. Intellectual Property
9.1 Ownership
All content and materials provided through the Services, including text, graphics, logos, software, and design elements, are the property of Private Flights Ltd or its licensors and are protected by copyright, trademark, and other intellectual property laws.
9.2 Restrictions
You must not reproduce, distribute, modify, or create derivative works from any of our content without our express written consent. Any unauthorised use may violate copyright, trademark, and other laws, and may result in civil or criminal penalties.
9.3 Promotional Material Disclaimer
Descriptions, images, or promotional materials regarding the Services are for illustrative purposes only and do not form part of any legally binding representation or warranty. Operators may use stock photographs or promotional images that may not reflect the actual Aircraft provided.
9.4 Visual Representations Disclaimer
Images of jets, interiors, exteriors, or destinations displayed on our app, website, or promotional materials are for illustrative purposes only. They may not reflect the actual appearance of the Aircraft or destination associated with your booking. The visual representations are intended to provide a general impression and do not constitute a binding representation or guarantee. You acknowledge and agree that the Aircraft or destination you experience may differ from the images displayed.
10. Additional Legal Provisions
10.1 No Partnership or Agency
Nothing in these Terms shall be construed to create a partnership, joint venture, employer-employee, or franchisor-franchisee relationship between you and Private Flights or between Private Flights and any Operator. We act only as an intermediary and bear no responsibility for the Operator's actions.

11. Governing Law and Dispute Resolution
11.1 Governing Law
These Terms (and any non-contractual obligations arising out of or in connection with them) shall be governed by and construed in accordance with the laws of England and Wales.
11.2 Dispute Resolution
In the event of any dispute arising under or in connection with these Terms, the parties shall first attempt to resolve the matter through good-faith negotiations. If the dispute remains unresolved, it shall be referred to arbitration in London, conducted under the Arbitration Act 1996. The parties agree that arbitration shall be the exclusive method of resolving the dispute, and no party may initiate legal proceedings in any court until the arbitration process has been exhausted. The decision of the arbitrator(s) shall be final and binding on the parties.

For users and Passengers located outside England and Wales, you agree that any disputes shall nonetheless be governed by the laws of England and Wales, and you irrevocably submit to the jurisdiction of the English courts, to the extent this does not contravene any applicable consumer protection laws.
11.4 Class Action Waiver (Where Permitted)
To the fullest extent permissible by applicable law, you agree that any disputes or claims arising out of or in connection with these Terms shall be resolved on an individual basis only. You hereby waive any right to participate in any form of class, collective, or joint action, unless such waiver is prohibited by law.

- Any act or omission by you or your Passengers that causes harm or damage to the Operator, its Aircraft, or other third parties.
- Violations of any applicable law or regulation by you or your Passengers.
13.2 Notice and Co-operation
Private Flights shall give you reasonable notice of any proceedings in respect of which indemnification is sought pursuant to this clause 13, and you undertake to co-operate fully with Private Flights and its legal advisers in the conduct of any such proceedings.
14. Flight Amendments and Substitutions
14.1 Operator Substitution
Operators may substitute Aircraft or modify flight details at their sole discretion (e.g., for safety, maintenance, or logistical reasons). Such substitutions do not constitute a breach of contract by Private Flights, and we shall not be liable for any resulting inconvenience or costs.
14.2 Schedule Changes
Operators may reschedule or reroute flights due to operational constraints, weather conditions, or unforeseen circumstances. We will endeavour to notify you as soon as reasonably practicable, but we cannot guarantee timely updates in all situations.
14.3 No Guarantee of On-Time Performance
Private aviation is subject to various factors beyond our or the Operator's control. We do not guarantee on-time departure or arrival, nor do we accept liability for any missed connections, accommodation costs, or other losses arising from delays or cancellations.
14.4 Owner's Right of Refusal
Even after providing a quote, the aircraft owner or Operator must approve the final itinerary. If the owner or Operator refuses to proceed with the requested itinerary, Private Flights will endeavour to find a suitable substitute Aircraft or cancel and refund your flight. You acknowledge that any resulting changes may lead to additional surcharges or fees, for which you will be responsible.

Our Services may contain links to third-party websites or resources. Private Flights does not endorse, control, or make any representations about such external sites, nor shall we be liable for any content, advertising, products, or other materials on or available from such websites. Access to third-party resources is at your own risk.
16. Transportation of Pets
16.1 Approval and Documentation
Passengers wishing to travel with pets must secure confirmation from the Operator and present appropriate pet documentation at least three days prior to departure. This may include health certificates, vaccination records, or other regulatory requirements. Animals are only carried with the prior approval of Private Flights.
16.2 Cabin Rules
Operators may impose strict rules concerning pet weight limits, kennel or carrier requirements, and behaviour onboard. You agree to comply with all such conditions. Any damage or additional cleaning costs attributed to pet travel may be charged to you.
16.3 Cleaning Fees
If any special cleaning or disinfection is required as a result of transporting your pet, you agree to be responsible for any associated costs, which may include additional FBO fees or Operator-imposed charges.
16.4 Operator Confirmation
Carriage of pets is subject to the final approval of the Operator or aircraft owner. Should the Operator decline to accommodate your pet, Private Flights will make reasonable efforts to arrange an alternative solution, if feasible. If no alternative is available, the flight may be cancelled, and you will receive a refund. Please note, any adjustments or changes resulting from such refusal may incur additional costs, which will be your responsibility.

These Premium Membership Terms and Conditions (“Terms”) apply to users who purchase a Premium Membership (“Membership”) through our app or website. By subscribing to a Membership, you agree to these Terms, which supplement our general Terms of Service and Privacy Policy. If you do not agree with these Terms, you must not purchase or use the Membership.
1. Membership Overview
1.1 Premium Membership Benefits
Premium Membership provides access to exclusive features and benefits, which may include:

1.2 Membership Plans
Premium Membership is available on either a monthly or yearly basis, as shown at the time of subscription. Pricing and payment terms will depend on the plan selected.
2. Eligibility
2.1 Age Requirement
You must be at least 18 years old to purchase a Membership.
2.2 Account Status
To purchase and maintain a Membership, you must hold an active Private Flights account in good standing and comply with all applicable terms of service.
3. Payment Terms
3.1 Pricing
The Membership price is listed in the app or website at the time of purchase. Prices may vary between monthly and yearly plans.
Pricing is subject to change, but we will notify you in advance of any changes to your recurring payment amount.
3.2 Billing and Renewal
Memberships renew automatically at the end of each billing cycle (monthly or yearly).
Your payment method will be charged on the renewal date unless you cancel your Membership before the renewal date.
Upon renewal, the applicable Membership fee will be charged to your payment method on file. Members will receive a notification via email or app notification before each renewal date, providing an opportunity to review the renewal terms.

5.6 Exclusion of Certain Flights or Services
Not all flights, promotions, or services may be eligible for discounts or benefits associated with the Premium Membership. Details will be communicated within the app or booking process.
6. Termination
6.1 Termination by Private Flights
We reserve the right to terminate your Membership without notice if you violate these Terms, our general Terms of Service, or engage in fraudulent or abusive behaviour.
6.2 Termination for Misuse
Misuse of Premium Membership benefits, such as sharing exclusive offers or discounts with non-Members, may result in termination of your Membership and forfeiture of benefits.
6.3 Termination by You
You may terminate your Membership at any time via your account settings. Cancellation takes effect immediately, and no benefits will be retained.
7. Additional Terms
7.1 Non-Transferability
Premium Memberships, benefits, and rewards are non-transferable and can only be used by the account holder who purchased the Membership.

8. Disclaimer and Limitation of Liability
8.1 No Warranty
Premium Membership is provided "as is" and "as available." We make no guarantees regarding the availability or quality of Membership benefits.
8.2 Liability Limitation
To the fullest extent permitted by law, Private Flights will not be liable for:
- Losses or damages arising from Membership use, including interruptions or unavailability of benefits.
- Third-party service providers failing to deliver benefits associated with the Membership.
- Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your use or inability to use the Membership.
- Any unauthorised access to or use of our servers and/or any personal information stored therein.
- Any interruption or cessation of transmission to or from our services.
- Any bugs, viruses, trojan horses, or the like that may be transmitted to or through our services by any third party.
- Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Membership.
8.3 Force Majeure Specificity
Private Flights is not liable for interruptions to Premium Membership benefits caused by circumstances beyond our control, including but not limited to natural disasters, venue cancellations, regulatory changes, or third-party failures.
9. Changes to Membership Terms
Private Flights reserves the right to modify these Terms, Membership benefits, or pricing at any time. Changes will take effect upon posting the revised Terms in the app or website. We will notify Members of significant changes via email or app notification. Continued use of the Membership after changes constitutes acceptance of the revised Terms.
10. Data Collection and Use
By subscribing to the Premium Membership, you consent to the collection and use of your data for the purpose of providing Membership benefits, improving services, and offering personalised promotions. All data will be handled in accordance with our Privacy Policy.
11. Taxes and Charges
Membership fees may be subject to applicable taxes or charges based on your region. You are responsible for paying any such taxes or charges as required by local law.
12. Governing Law and Dispute Resolution
12.1 Governing Law
These Terms are governed by the laws of England and Wales.
12.2 Dispute Resolution
Any disputes arising under or in connection with these Terms shall first be addressed through amicable negotiations between the parties. If a resolution cannot be reached, the dispute will be referred to arbitration in London, conducted under the Arbitration Act 1996. The parties agree that arbitration shall be the exclusive method of resolving the dispute, and no party may initiate legal proceedings in any court until the arbitration process has been exhausted. The decision of the arbitrator(s) shall be final and binding on the parties.
12.3 Class Action Waiver
You agree that any arbitration under these Terms will be conducted solely on an individual basis and you hereby waive any right to participate in a class action lawsuit or class-wide arbitration against Private Flights Ltd or its affiliates.

14. Severability
If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions will continue in full force and effect.
15. Entire Agreement
These Terms, along with our general Terms of Service and Privacy Policy, constitute the entire agreement between you and Private Flights regarding the Premium Membership and supersede all prior agreements or understandings, whether written or oral.
16. Governing Language
These Terms are drafted in English, which shall be the governing language. In the event of any discrepancies between translations and the English version, the English version shall prevail.
17. Feedback and Suggestions
Members may provide feedback or suggestions regarding the Membership benefits or these Terms. By submitting feedback, you grant Private Flights the right to use and incorporate such feedback into our services without any obligation to compensate you.

Welcome to the Private Flights Ltd ("Private Flights," "we," "our," or "us") Friend Invites Programme (the "Programme"). By participating in this Programme, you agree to these Friend Invites Terms and Conditions ("Terms"), which govern your use of the Programme in conjunction with our general Terms of Service. If you do not agree with these Terms, you must not participate in the Programme.
1. Eligibility
1.1 Who Can Participate
The Programme is open to all users of the Private Flights app who hold an active account. Both premium and standard users are eligible to participate.
1.2 Restrictions
- Participants must be 18 years or older.
- Only individuals (not companies or organisations) are eligible to participate.
- The referred friend must be a new user who has not previously registered for a Private Flights account.
2. How the Programme Works
2.1 Inviting Friends
- You can invite friends to join Private Flights via the in-app referral feature by sharing your unique invite link or code.
- A referred friend must use your unique invite link or code during registration to qualify as a valid referral.
2.2 Rewards
- If your referred friend successfully registers and completes their first booking, you will receive a discount of $200 (standard users) or $400 (premium users) on your next booking.
- The discount amount may vary based on promotions or adjustments determined by Private Flights and will be communicated in the app.
- Rewards are capped at one discount per referred friend.
2.3 Reward Conditions
- Rewards can only be applied to bookings made within the Private Flights app.
- Rewards cannot be exchanged for cash, transferred to another account, or combined with other offers unless explicitly stated otherwise.
- Rewards may expire after a certain period, as outlined in the app or referral notification.
3. Changing Reward Values
Private Flights reserves the right to adjust the discount amount ($200/$400) at any time without prior notice. Changes to the reward amount will not apply retroactively to completed referrals but will affect future referrals.
4. Referral Validity
4.1 Valid Referrals
To be considered a valid referral:
- The referred friend must create an account using your invite link or code.
- The referred friend must complete a flight booking.
- Duplicate accounts, self-referrals, or accounts created with fraudulent intent are not valid.
4.2 Disqualification of Referrals
Private Flights reserves the right to disqualify referrals and withhold or revoke rewards if:
- Fraudulent activity, abuse, or manipulation of the Programme is detected.
- The referred friend cancels or does not complete their first booking.
- Any breach of these Terms or the general Terms of Service occurs.
5. Reward Redemption
5.1 Applying Discounts
- Rewards will automatically apply to your next eligible booking in the app.
- You must meet any minimum booking requirements specified in the app to use the discount.
5.2 Tracking Rewards
You can view the status of your referrals and rewards in the app under the “Referral Programme” section.
6. Reward Expiry
Rewards earned through the Programme must be redeemed within 90 days of being granted. After this period, unused rewards will expire and cannot be reinstated. Expiry durations will be communicated in the app or referral notifications.
7. Anti-Fraud and Abuse
- Any attempt to manipulate or abuse the Programme (e.g., creating fake accounts, self-referrals, or using bots) will result in immediate disqualification from the Programme, forfeiture of rewards, and potential account suspension or termination.
- Private Flights reserves the right to investigate and take action against any activity it deems fraudulent or abusive.
8. Referral Limits
Users may refer up to 10 friends per calendar year, or as otherwise specified in the app. Rewards will not be granted for referrals exceeding the specified limit.
9. Taxes
It is your responsibility to determine and comply with any tax obligations arising from participation in the Programme. Private Flights is not responsible for notifying you of or remitting any taxes on your behalf.
10. Errors and Inaccuracies
Private Flights is not responsible for errors, omissions, or technical failures that may affect the tracking or issuance of rewards. In the event of any errors, Private Flights reserves the right to correct them and adjust rewards accordingly.
11. No Guarantee of Continuity
Participation in the Programme does not guarantee the availability of rewards or Programme continuation. Private Flights reserves the right to discontinue the Programme at any time for any reason without prior notice.
12. Opt-Out Option
Users may opt out of the Friend Invites Programme at any time by contacting customer support. Once opted out, users will no longer be eligible to earn rewards or participate in the Programme.
13. Limitation of Liability
Private Flights is not responsible for:
- Any technical issues or failures affecting your ability to participate in the Programme.
- Delays or errors in processing rewards.
- The cancellation or adjustment of rewards due to unforeseen circumstances.
14. Programme Modifications
Private Flights reserves the right to:
- Modify, suspend, or terminate the Programme at any time without prior notice.
- Amend these Terms to reflect changes in the Programme, applicable laws, or business practices.
Changes to these Terms will take effect when posted in the app or on the Private Flights website. Your continued participation in the Programme after any modifications constitutes your acceptance of the revised Terms.

These Terms shall be governed by the laws of England and Wales. Any disputes arising out of or related to the Programme shall be resolved in accordance with the dispute resolution clause in our general Terms of Service.
